Accelya to acquire Farelogix
Accelya have announced an agreement to acquire Farelogix. Following on from the Competition and Market Authority ruling in the UK that prohibited the Sabre Farelogix deal, Accelya and their owners Vista Equity Partners Perennial have seized the opportunity to step in and acquire Farelogix. Whilst there is nothing in the press release on the value of the deal, T2RL believe it will be close to the original price offered by Sabre perhaps less a portion of the Sabre paid break up fee. This is undoubtedly a bold move from Accelya and their backers Vista given the current industry crisis. For T2RL this means Accelya and their backers have confidence in their role and the recovery and the long-term health of the airline industry. From T2RL's perspective Accelya Farelogix have no overlap in capabilities and the sales and marketing teams work with different groups inside the airlines. T2RL believes this should ensure that the regulators approve the deal and are able to deliver on their vision of a single end to end platform that supports offer creation through to settlement. With capabilities in revenue management, merchandising, order management, ticketing and revenue accounting functions on offer one of the key challenges will be the economics and contractual issues associated with integration with the existing PSS/GDS providers, Amadeus, Sabre and Travelsky. In the past this forced Farelogix to develop capabilities associated with ticketing and legacy EDIFACT messaging, now they may want to develop inventory and departure control capabilities too, or acquire them.

Accelya to Acquire Farelogix

Acquisition will accelerate the digital transformation of airline commerce and support airline industry recovery

BARCELONA, Spain and MIAMI- June 16, 2020: Accelya, a leading provider of technology solutions to the global airline and travel industry, today announced that it has entered into a definitive agreement to acquire Farelogix, a leading provider of SaaS solutions for airline retailing and New Distribution Capability (NDC)-enabled commerce. The acquisition will advance Accelya's vision to provide a next-generation, end-to-end platform that enables airline commerce, providing a full suite of innovative retailing, distribution, and fulfillment solutions. Once part of Accelya, Farelogix will be well positioned to expand its operations, better support its airline customers, and leverage Accelya's industry expertise to better interconnect airline systems.

Farelogix has played an instrumental role in defining innovative retailing for the airline industry, providing passenger service system (PSS)-agnostic technology that enables airlines to dynamically create, control, optimize, and deliver personalized and differentiated offers across sales channels. Farelogix has more than 25 airline customers worldwide that use its technology to grow revenue per passenger, achieve greater efficiency, and reduce costs. Integration with Accelya's complementary mission-critical airline solutions will optimize the entire airline commerce lifecycle by allowing greater control and flexibility over commercial offers, orders, and downstream processes, and benefiting airline customers and their passengers through accelerated digital transformation.

The acquisition follows Vista Equity Partners investment in Accelya by the firm's permanent capital investment fund, Vista Equity Partners Perennial. The acquisition is subject to customary closing conditions and regulatory approvals and is expected to close this summer. The deal brings more than 300 skilled Farelogix employees, primarily based in Miami, into the global Accelya team. Prior to closing, Accelya and Farelogix will continue to operate as separate businesses. Terms of the transaction were not disclosed.
